3M’s Amazon Deal Targets Data Center Growth, Ties Stock Rights to $6B in Purchases
It gives Amazon purchase-linked rights to nearly 3.2 million 3M shares as the manufacturer scales optical connectivity technology and expects EBO sales to roughly double or more in 2027. Here's the details and our analysis.
An expert says lawsuits filed by veterans who blame hearing issues on defective earplugs could bankrupt the company, but 3M calls the interpretation ‘flawed speculation,’ according to Bloomberg.
3M has significantly expanded its data center supply relationship with Amazon, linking potential equity ownership to purchases of optical connectivity and other infrastructure products.
Disclosed Oct. 19, the agreement granted an Amazon subsidiary a seven-year warrant to purchase up to 3,162,015 shares of 3M stock at $164.89 each. Of those shares, 85% vest based on Amazon’s product payments, with that portion fully vesting at $6 billion in cumulative payments. The remaining 15% depend on event-based milestones.
During 3M’s Oct. 20 earnings call, Chairman and CEO Bill Brown emphasized that the arrangement did not guarantee purchase volumes.
“There’s no volume commitments here. We got to earn a right to that. It’s going to happen over time,” Brown said, adding that the longer-term $6 billion figure is an important target for the company.
Brown projected approximately $80 million-$100 million in 2027 sales for 3M’s Expanded Beam Optical (EBO) business, compared with roughly $40 million in 2026. That outlook covered EBO overall. He expected the Amazon relationship to begin ramping toward late 2027 and become more meaningful in 2028.

Brown estimated EBO’s addressable market at approximately $2 billion by 2028. He described Amazon’s participation as validation of the technology, following 3M’s previously announced Microsoft partnership, while declining to forecast EBO revenue beyond 2027.
The technology supports optical connections within data centers. According to 3M, its connectors can reduce installation time from minutes to seconds and simplify maintenance — benefits the company said could shorten data center construction schedules.
To support expansion, 3M separately announced an Oct. 19 manufacturing collaboration with Taiwan-based Genius Electronic Optical. It planned to acquire approximately 4.7% of GSEO, with closing expected in the fourth quarter. The partnership combines 3M’s optical interconnect technology with GSEO’s precision optics manufacturing capacity.
Brown put 3M’s broader data center revenue at approximately $700 million in 2026, versus $550 million in 2025. Most exposure remained outside the facilities in electrical connections, with additional business inside involving optical connections, copper and other products.
For 3Q26, 3M reported sales of $6.6 billion, up 1.0% year over year. Adjusted sales increased 4.2%, including 3.3% organic growth. Operating margin rose 150 basis points to 23.7%, while adjusted operating margin increased 110 basis points to 26.2%. The company generated $1.2 billion in adjusted free cash flow and raised its full-year earnings outlook.
Safety & Industrial — representing nearly half of company sales — generated $3.18 billion in revenue, up 9.1%, including 7.0% organic growth. Segment operating income increased 21.2% to $960 million, with operating margin expanding to 30.1% from 27.1%. Electrical markets, fire safety, industrial adhesives and tapes, personal safety, automotive aftermarket, abrasives and industrial specialties all posted organic growth, while roofing granules declined.
MDM Analysis
For distributors selling 3M products into data centers, the opportunity extends across electrical infrastructure, connectivity and supporting materials. Amazon’s involvement strengthens the commercial case for 3M’s technology, but distributors should establish which products and customer relationships are accessible through their channel agreements.
The practical next step is to work with 3M on product qualification, technical training and project visibility, then align inventory with confirmed demand. Selling installation speed, reliability and maintenance benefits can strengthen distributors’ role with contractors and integrators. The $6 billion threshold signals potential scale; it should not become an assumption of guaranteed orders or an immediate channel windfall.
