David Yang

Biography

David is a consultant based in the Chicago office of Frederic W. Cook & Co. He began his career as a benefits consultant prior to joining the firm in 1999. Since then, he has provided services to numerous public and privately-held companies in a variety of industries including financial services, healthcare, retail, and technology. His experience extends across all areas of executive compensation including competitive assessment of executive and director compensation programs, short-term and long-term incentive plan design, drafting of the annual proxy statement Compensation Discussion & Analysis (CD&A) and preparation of related compensation tables, evaluation and calculation of excise tax exposure and related gross-ups under IRC Sections 280G and 4999, and compliance issues related to proxy voting policies of major institutional shareholders and their proxy advisors (e.g., ISS). David has been a featured speaker on executive compensation topics for various professional groups (e.g., NASPP, Conference Board) and is a frequent contributor to the firm’s technical papers. He also served on the Consultant Advisory Committee for a major third-party compensation data provider. He earned a BS in psychology from the University of Illinois at Urbana-Champaign and an MBA in finance and management from DePaul University.
